Remuneration system for Executive Board

The remuneration for the members of the Executive Board is regulated in the appointment contract concluded with the member of the Executive Board concerned. For the purposes of concluding the appointment contract, the company is represented by the Supervisory Board.

As regards the remuneration regulated in the appointment contract, the statutory provisions apply (in particular the requirement of appropriate emoluments pursuant to section 87(1) AktG) and the respective remuneration system in place for Executive Board members pursuant to section 87a AktG.

The Supervisory Board adopted the currently applicable remuneration system for Executive Board members pursuant to section 87a AktG on June 13, 2022. It is outlined with the particulars required according to section 87a(1) sentence 2 AktG in the Annex TOP 7 – Remuneration system for Executive Board members of the invitation for the Annual General Meeting of July 28, 2022. The Annual General Meeting of Alexanderwerk GmbH of July 28, 2022 has consented to the currently applicable remuneration system for Executive Board members with an approval rate of 62.20 %.
