Amendment of Articles of Association and share split

As Alexanderwerk AG already announced on July 6, 2023, the company's Annual General Meeting on July 6, 2023 resolved, among other things, to carry out a share split at a ratio of 1 to 2 and, in this connection, to amend the Company's Articles of Association.

One no-par value share with a pro rata amount of the share capital of EUR 2.60 will be replaced by two no-par value shares with a pro rata amount of the share capital of EUR 1.30 each. This means that the share capital will be restructured into 3,600,000 no-par value shares.

The amendment to the Articles of Association was registered in the commercial register of Alexanderwerk AG on July 13, 2023 and has thus taken effect. However, the adopted share split must still be implemented in technical terms. In doing so, the Company is assisted by a bank.

The Company will inform the capital market in due course by separate notification about the further steps to be taken for the technical implementation of the share split and the expected timetable.
