Judicial Removal and Additional Appointment of a Supervisory Board Member

By order of September 18, 2025, the Wuppertal District Court removed Mr. Nirfan Abes from the Supervisory Board and appointed Mr. Juergen Goeller as an additional member. The order became effective upon service of the court order on all parties to the proceedings.

The Wuppertal District Court issued the order at the request of the Supervisory Board – by the Chairman of the Supervisory Board (Mr. Thomas Mariotti) and the Deputy Chairman of the Supervisory Board (Mr. Francisco José Carlon Clemente). Since the company's Supervisory Board was unable to form a quorum, recourse to the court was necessary to avert damages to the company and its shareholders.

The request was necessary, among other things, because the third Supervisory Board member failed to attend 10 Supervisory Board meetings within a period of two months. Due to his continued absence, the Supervisory Board did not have a quorum pursuant to Section 108 (2) Sentence 3 of the German Stock Corporation Act (AktG). In order to restore the quorum, the Wuppertal District Court has removed the third Supervisory Board member and appointed Juergen Goeller as an additional member.
