Acquisition of the business operations of Alexanderwerk Produktionsgesellschaft GmbH

Alexanderwerk GmbH (Local Court of Wuppertal, HRB 23189) has just concluded a purchase and transfer agreement with Alexanderwerk Produktions GmbH (Local Court of Wuppertal, HRB 23193) for the acquisition of the business operations of Alexanderwerk Produktions GmbH.

Alexanderwerk GmbH is a 100% subsidiary of Alexanderwerk Holding GmbH & Co. KG (Local Court of Wuppertal, HRB 23360). Alexanderwerk AG is the sole limited partner and holds all shares in the (sole) general partner of Alexanderwerk Holding GmbH & Co. KG.

In the spring of this year – on February 17, 2021 – the management teams of Alexanderwerk AG and Alexanderwerk Produktions GmbH had already agreed on the key points of the takeover of the business operations that is now taking place (cf. ad hoc disclosure / inside information pursuant to article 17 MAR of Alexanderwerk AG of February 17, 2021, 16:15).

The purchase and transfer agreement has just been concluded, taking economic effect at the start of July 1, 2021. The purchase price is in the mid-single-digit million euro range.
