REMUNERATION OF THE MEMBERS OF THE EXECUTIVE BOARD
The remuneration of the Management Board members is regulated in the employment contract concluded by the company with the respective Management Board member. When the employment contract is concluded, the company is represented by the Supervisory Board.
The statutory provisions (in particular the requirement of appropriateness from Section 87 (1) AktG) and the applicable remuneration system for Management Board members pursuant to Section 87a AktG apply to the remuneration regulated in the employment contract.
On June 13, 2022, the Supervisory Board decided on the currently applicable remuneration system for members of the Management Board in accordance with Section 87a AktG. It is shown with the information required under Section 87a (1) sentence 2 AktG in Appendix TOP 7 – Compensation system for members of the Management Board ofthe invitation to the Annual General Meeting on July 28, 2022. The Annual General Meeting of Alexanderwerk AG on July 28, 2022 approved the currently applicable remuneration system for Management Board members with a majority of 62.20%.
