Intended acquisition of the business operations of Alexanderwerk Produktionsgesellschaft GmbH

The Executive Board and the Supervisory Board of Alexanderwerk AG and the management of Alexanderwerk Produktions GmbH, registered in the commercial register of the Local Court of Wuppertal under the registration number HRB 23193, intend to transfer the business operations of Alexanderwerk Produktions GmbH to Alexanderwerk AG.

Alexanderwerk AG sold the business operations of Alexanderwerk Produktions GmbH in 2010. There is a reciprocal participation relationship between the companies (“cross-shareholding”): Alexanderwerk AG holds a 25 percent stake in Alexanderwerk Produktions GmbH; Alexanderwerk Produktions GmbH holds a stake of approx. 20 percent in Alexanderwerk AG.

Alexanderwerk Produktions GmbH manufactures plant and spare parts for the pharmaceutical, chemical and food industries. The purpose of the acquisition is to increase the Group’s profitability.

The management teams of the two companies have just agreed on the key points of a takeover of the business operations of Alexanderwerk Produktions GmbH by Alexanderwerk AG. The purchase and transfer agreement is to be finalized and concluded without delay. The acquisition is to take economic effect, if possible, as of December 31, 2020 to simplify accruals. The purchase price is in the mid-single-digit million euro range.
